Often buried in the back of a contract in a section titled “miscellaneous”, are the frequently overlooked, but very important boilerplate terms that dictate things like appliable law and jurisdiction. For many, these clauses are an afterthought, crafted using cut-and-paste language from other contracts. During a dispute, however, these terms can be hotly contested.
